These Terms of Service ("Terms") govern your access to and use of the website and services of Nexbhullah LLC ("Nexbhullah," "we," "us," or "our"). By using our website, contacting us, or purchasing our services, you agree to these Terms. If you do not agree, do not use our website or services.

1. Who We Are

Nexbhullah LLC is a marketing and client-acquisition services provider for home remodeling contractors and related businesses. Our services may include search visibility, Google Business Profile optimization, local SEO and AEO, review and reputation systems, lead qualification, CRM and automation setup, appointment booking systems, paid advertising management on platforms such as Meta and Google, and creative production.

2. Eligibility

You must be at least 18 years old and authorized to enter into a binding agreement on behalf of yourself or the business you represent.

3. Services and Scope

The specific services, deliverables, fees, and term for each client are described in the proposal, order form, service agreement, or invoice we provide ("Order"). If there is a conflict between an Order and these Terms, the Order controls for that engagement. We may use subcontractors and third-party tools to deliver our services.

4. Client Responsibilities

To deliver results, we depend on your cooperation. You agree to:

• Provide accurate information, timely access to accounts and assets, and prompt feedback and approvals.
• Respond to and follow up with leads and appointments we generate.
• Maintain any third-party accounts and subscriptions required to deliver the services.
• Comply with all applicable laws and platform policies (including Meta, Google, and telecommunications and messaging rules) in connection with the campaigns and communications we run for you.

Delays or failures on your side may affect results and timelines and do not entitle you to a refund.

5. Advertising Spend

Unless your Order clearly states otherwise, advertising spend (the money paid to platforms such as Meta and Google to run ads) is separate from and in addition to our service fees, and is your responsibility. You are responsible for funding your own ad accounts.

6. Fees, Billing, and Subscriptions

Our services are typically provided on a recurring monthly retainer billed through our payment processor, Stripe. By providing a payment method and accepting an Order, you authorize us to charge the agreed fees, including recurring monthly charges, and any one-time setup fees.

Recurring subscriptions automatically renew each billing cycle until cancelled in accordance with these Terms and our Refund Policy. You authorize us to charge your payment method on file at the start of each cycle. Fees are stated in US dollars. You are responsible for any taxes that apply.

If a payment fails or is reversed, we may pause or suspend services until payment is resolved.

7. Refunds and Cancellation

Refunds and cancellations are governed by our Refund Policy, which is incorporated into these Terms by reference. Please read it carefully.

8. No Guarantee of Specific Results

We bring experience, effort, and proven systems, but marketing outcomes depend on many factors outside our control, including your market, your pricing, your sales process, your responsiveness, your budget, platform changes, and economic conditions. Unless a specific result is expressly guaranteed in writing in your Order, we do not guarantee any specific number of leads, appointments, sales, revenue, rankings, or return on investment. Any examples, case studies, or testimonials reflect specific situations and are not a promise of your results.

9. Intellectual Property

As between you and us, you own your brand assets and the content you provide. Subject to full payment, you own the final deliverables we create specifically for you. We retain ownership of our pre-existing materials, processes, templates, systems, know-how, and tools, and we may continue to use the general knowledge and experience we gain. We may reference our work for you in our portfolio and marketing unless your Order says otherwise.

10. Confidentiality

Each party agrees to keep the other party's non-public business information confidential and to use it only to perform under the engagement.

11. Acceptable Use

You agree not to use our website or services for any unlawful, harmful, deceptive, or abusive purpose, not to infringe others' rights, and not to interfere with or attempt to gain unauthorized access to our systems.

12. Third-Party Platforms and Tools

Our services rely on third-party platforms and tools (including Meta, Google, GoHighLevel, Stripe, and others). We are not responsible for the availability, performance, policies, pricing, or actions of those third parties, including account suspensions or policy enforcement by advertising platforms.

13. Disclaimers

Our website and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

14. Limitation of Liability

To the fullest extent permitted by law, Nexbhullah and its owners, members, and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost revenue, lost data, or lost business, arising out of or related to your use of our website or services. Our total liability for any claim arising out of or related to the services will not exceed the total fees you paid to us for the services in the three (3) months before the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless Nexbhullah and its owners, members, and personnel from any claims, losses, liabilities, and expenses (including reasonable attorney fees) arising out of your breach of these Terms, your content or business, your use of the services, or your violation of any law or third-party right.

16. Termination

Either party may cancel an ongoing engagement in accordance with the Refund Policy and any notice terms in the Order. We may suspend or terminate services immediately for non-payment, breach of these Terms, or unlawful or abusive conduct. Provisions that by their nature should survive termination will survive.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules. You agree that any dispute will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to their jurisdiction, unless your Order specifies binding arbitration.

18. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a new effective date. Your continued use of our website or services after changes means you accept the updated Terms.
